Order Granting Exemption and To Show Cause

Aerolineas Mesoamericanos, S.A. de C.V., a foreign air carrier of Mexico, requests an exemption under 49 U.S.C. §40109, and a foreign air carrier permit under 49 U.S.C. §41301, to engage in scheduled foreign air transportation of persons, property, and mail between: 1) Guadalajara, Mexico, and Las Vegas, Nevada; 2) Guadalajara, Mexico, and San Antonio, Texas; and 3) Culiacan, Mexico, and Las Vegas, Nevada. The applicant further requests authority to engage in charter trips in foreign air transportation as permitted by Annex II of the U.S.-Mexico Agreement, and other charters in accordance with Part 212 of the Department's economic regulations.

In its April 8 amendment, among other things, ALMA acknowledges the unavailability of a designation by the Government of Mexico in the Guadalajara-Las Vegas market and requests that the Department defer action on that portion of ALMA' s application.

We grant ALMA exemption authority to permit it to engage in scheduled foreign air transportation of persons, property, and mail between: 1) Guadalajara, Mexico, and San Antonio, Texas; and 2) Culiacan, Mexico, and Las Vegas, Nevada. We also grant the applicant exemption authority to engage in charter foreign air transportation of persons, property, and mail between Mexico and the United States, and other charter operations in accordance with 14 CFR Part 212. We will tentatively grant ALMA a foreign air carrier permit for these services. At the request of ALMA, we defer action on the Guadalajara-Las Vegas portion of its application.

ALMA states that its Chairman, all members of its Board of Directors, and all but one of its key management personnel are Mexican citizens. The record indicates that approximately 98.9% of ALMA's shares are held by Mexican entities and citizens.
