Joint Application for a Transfer of Certain International Authority and for a Pendente Lite Exemption

Thirty to Forty days after the filing of this application, Cargo 360 will acquire all of the issued and outstanding stock of Southern. Simultaneously, a newly formed holding company, Southern Air Holdings, will acquire 100% of the issued and outstanding stock of Cargo 360. Holdings will be owned by the current owners and management of Cargo 360 and Southern. While the Joint Applicants thus will be commonly owned, initially following the transaction they will continue to operate as seperate air carriers.

Joint Application for Approval of de facto Transfer of Certain International Certificate Authority

Thirty to thirty-five days after the filing of this application, Cargo 360 will acquire all of the issued and outstanding stock of southern? Simultaneously, a newly formed holding company, Southern Air Holdings, Inc., will acquire 100% of the issued and outstanding stock of Cargo 360. Holdings will be owned by the current owners and management of Cargo 360 and Southern. While the Joint Applicants thus will be commonly owned, initially following the transaction they will continue to operate as separate air carriers, each holding all necessary authority from the Department and the Federal Aviation Administration. Although the transaction will not involve any actual transfer of international certificate authority, the Department takes the view that a route transfer application is required under 49 USC 41105 by virtue of the de facto transfer doctrine, hence this application.
