Air Midwest, Inc. OST-2006-26720 - Disclaimer of Jurisdiction Over, or in the Alternative, Approval of the Transfer of Operating Authority December 21, 2006 Air Midwest, Inc. hereby requests the Department to disclaim jurisdiction over the transfer of the operating authority held by Air Midwest to a newly formed Nevada corporation, Air Midwest, LLC. Air Midwest requests expedited action on this application to permit the transfer and reissuance of its operating authority to Air Midwest, LLC. The disclaimer of jurisdiction and reissuance of Air Midwest's operating authority to Air Midwest, LLC, is in the public interest, fully justified, and non-controversial on the basis of policy and longstanding precedent. The transfer of the operating authority to Air Midwest, LLC, is necessary to complete an intra-corporate reorganization for business and tax purposes, to which the operating authority transfer is purely incidental. Under the reorganization, Air Midwest's parent holding company - Mesa Air Group, caused its subsidiary named Mesa Airlines, Inc. to establish Air Midwest, LLC, as a newly formed Nevada corporation. Air Midwest will be merged into and with Air Midwest, LLC, and the surviving company will be called Air Midwest, LLC. The transaction will not involve any change in the management, ownership, control, operations, financial condition or citizenship of the carrier. Order 2007-1-18 Issued and Served January 30, 2007 Order Disclaiming Jurisdiction and Reissuing Certificates By this order, we (1) disclaim jurisdiction over the proposed transfer to Air Midwest, LLC, of the section 41102 interstate certificate issued to Air Midwest, Inc. and (2) reissue the certificate in the name of Air Midwest, LLC by Order 1998-7-6.
