Although the applicant has provided an update on its capitalization and financing, the Pro Air did not provide independent third-party verification of such funding and a revised list of preoperating expenses already paid and those remaining to be paid. In the show-cause order startup costs were estimated to be $1.5 million with another $4.5 million in expenses during three months of normal certificated operations. It now appears that pre-operating costs alone will be in excess of $3.5 million and we are unsure as to what additional pre-operating expenses will be incurred or what the expenses will be for three months of normal operations. Thus, it is unclear as to what would be required for the working capital reserve. Since we must make a finding that Pro Air continues to meet our financial fitness test, please provide information which will clarify this matter.

Response of Pro Air to DOT Letter dated May 6, 1997

Pro Air, Inc. proposes to serve the Detroit market and its prior submissions to the DOT have included these proposed operations. The Company further determined that it wished to provide service to this market at Detroit City Airport (UDET'') . Pursuant to applicable law, the appropriate procedures were initiated to obtain approvals for operations at DET several months ago. These procedures included an Environmental Assessment to be conducted with respect to the proposed Company operations at DET. Until very recently, the Company understood from the FM that these proceedings were moving forward satisfactorily and would result in a Finding of No Significant Impact ("FONSI") prior to the commencement of commercial operations. Consistent with this understanding, DET was included in the proving runs conducted by Pro Air with the approval and participation of the FM immediately prior to the issuance of the Air Carrier Certificate on April 25, 1997.

Fifth Supplement and Motion for Waiver of Delayed Effectiveness

Pro Air, Inc. respectfully its requests that the DOT waive that portion of Provision (1 ) of the Final Order which requires a delay of six (6) business days from the date of this final submission before the Final Order becomes effective so that the Final Order is effective immediately upon issuance of the requested waiver.
