Lawyer of Aviation Analysis
The purpose of this letter is to clarify my intent to make funds available to Gulf & Caribbean. I have previously stated my intention to make certain funds available for use by the Company for working capital purposes for a period of one year after the carrier commences operations.
The commencement of DC-9 passenger operations under an effective Certificate of Public Convenience and Necessity is a condition precedent to my proposal to make such funds available to the Company.

GCA is actively pursuing ongoing negotiations to acquire suitable large aircraft, including the Convair 580 and the 78-seat Convair 5800. At this point, however, GCA is not on the verge of a definitive agreement to acquire any specific large aircraft. For that reason, GCA is unable, at this time, to comply with your requirement that GCA must "clearly demonstrate[s] that it has made significant progress toward the acquisition of the aircraft it proposes to utilize in its certificated service".

GCA is currently providing on-demand all-cargo charter operations utilizing the 12,500-pound payload Convair CV-440 aircraft. GCA conducts its current operations primarily within the State of Florida, and between Florida and points in the Bahamas and other Caribbean points, with its principal operations basis in Ft. Lauderdale. GCA has not conducted, and does not currently hold FAA perating authority to conduct, any passenger service operations.

Enclosed herewith is a fax copy of a letter dated December 1, 1998 from Mr. F. Lee Mason. President of Gulf and Caribbean Cargo, Inc., d/b/a Gulf and Caribbean Air, confirming the willingness of Mr. Mason to commit his own personal funds to provide working capital to support GCA's operations, in the event that such support should become necessary. The enclosed commitment letter, which is being furnished at your request in connection with the financial information contained in Supplement No. 8 to GCA's pending certificate applications, is identified for evidentiary purposes as Exhibit GCA-S/8-3. A copy of this letter and the enclosed letter is being filed concurrently in the referenced dockets.

On December 22, 1997, G&CC filed a request for a waiver of the one year "use or lose" requirements of section 204.7. In support of its request, it stated that it had, on two occasions, been close to acquiring a DC-9 aircraft to use in its proposed service, that those plans did not materialize, and that it was continuing the search for an aircraft which would meet its requirements. Since it appeared that the carrier was actively engaged in activities towards making its certificates effective, we granted C&CC's request and gave it until June 30, 1998, to commence operations under its certificate authority. Subsequently, G&CC advised us that it had changed its aircraft acquisition plans, and that it was proposing to operate a 54-seat Convair 580 in the summer of 1998 and to later add a 74-seat Convair 5800. Although the carrier still intends to pursue its plans to obtain the Convair aircraft, G&CC has indicated that it has been unable to find suitable aircraft on satisfactory terms. G&CC proposed to operate one DC-9 aircraft in scheduled passenger service over an Indianapolis-Ft. Lauderdale-Port-au-Prince, Haiti routing.
Therefore, we have decided to make G&CC's certificates effective as of December 1 and to limit the carrier's effective authority to all-cargo operations using small aircraft. The holder's authority to conduct any other air transportation operations under these certificates, including passenger operations or operations, with large aircraft, shall not become effective until we have received the following documents: (a) a copy of the carrier's amended Operations Specifications from the Federal Aviation Administration authorizing such operations; (b) a fully executed OST Form 6410 evidencing passenger liability insurance coverage meeting the requirements of section 2()5.5(b) of our regulations; and (c) updated fitness information establishing the carrier's fitness to conduct such operations.

By this order, we (1) confirm our oral action of January 11. 2005, making the authority of Gulf & Caribbean Cargo, Inc. d/b/a Gulf & Caribbean Air d/b/a IFL Group to operate large aircraft in interstate and foreign scheduled air transportation of property and mail effective on that date, (2) reissue its interstate and foreign scheduled certificates to reflect this authority (3) authorize the carrier to operate up to five large aircraft in all‑cargo operations.
On October 13, 2004, G&CC requested that the Department make its certificate authority effective for large aircraft. G&CC stated that it sought to dissolve an affiliated Part 125 operator, CAC, and transfer two B-727 and three Convair 5800 aircraft previously held by CAC to G&CC. G&CC provided a forecasted income statement based on its first year of all-cargo operations using five large aircraft. G&CC also provided a list of the pre-operating expenses associated with adding the five aircraft to its FAA operating specifications. G&CC stated that it would incur approximately $1.8 million in pre-operating expenses and first year operating expenses of approximately $10,067,000. We found these projections to he reasonable and concluded that G&CC would need access to approximately $4.3 million to meet the requirements of our financial fitness test. On January 5, 2005, G&CC provided third-party verification that it had access to funds in excess of that amount.
