Re: Application to Renew Code-Sharing Authority with Continental
Air Canada and Continental have been providing code-sharing services in the Canada-U.S. market since 1995, and the same public interest considerations which led the Department to approve the Air Canada-Continental code-share services in the first instance continue to be present here. Accordingly, Air Canada requests that the Department continue to authorize this code-share service until April 30, 1998 -- the date on which the code-sharing contract between Air Canada and Continental expires.

Re: Air Canada Wet-Lease of Aircraft to Air New Zealand
Under the temms of this arrangement, Air Canada will provide Air New Zealand with a B-767-300 aircraft with crew, which would be operated on a Vancouver-Honolulu routing. The service is to operate twice a week - Wednesdays and Sundays - on a roundtrip basis. The arrangement is scheduled to commence on October 29,1997. The flights at issue will be held out by Air New Zealand in conjunction with Air New Zealand's Auckland-HonoluluVancouver service. (Air New Zealand operates its own aircraft on the Honolulu-Auckland flight segment.) Air Canada will not be holding out any service to New Zealand pursuant to this arrangement.

I am writing to follow up on our conversation of earlier this week concerning the
applications of Air Canada, Air Alliance, Air Nova, AirBC, and Air Ontario for foreign air
carrier permits. In that conversation, you asked that I supply recent financials for those
carriers, as well as for Northwest Territorial Airways.
Air Alliance, AirBC, Air Nova, and Air Ontario are wholly owned by Air Canada. Those
carriers' financial results are reported on a consolidated basis with Air Canada.
Northwest Territorial Airways recently was sold by Air Canada to First Air. I will supply
updated financial information for Northwest Territorial Airways under separate cover as
soon as possible.
Attached for your information is financial information for Air Canada for the 1995 and 1996 financial years, as well as a press release which outlines Air Canada's financial results for 1997, which were announced just last week. As you will see, Air Canada has been consistently profitable, with the company in 1997 reporting its highest-ever operating income and net income. For 1997, earnings were $427 million, or $2.37 per share. Operating income was $368 million. Air Canada also was profitable in 1995 and 1996, earning net income of $149 million in 1996, and $62 million in 1995.

Pursuant to our conversation of last week, I am attaching further financial information for Air Canada and its commuter affiliates. Specifically, I am attaching financials set forth in Air Canada's 1996 Annual Report, which provide assets and liabilities for the 1995 and 1996 financial years, as well as statement of shareholders' equity for the same time periods. Because Air Canada has not issued its 1997 Annual Report, info for the 1997 financial year is not yet available.

Pursuant to 14 CFR Part 212.4, Air Canada applies for a statement of authorization so
that Air Canada may display the Lufthansa "LH" airline designator code on Air
Canada flights operated between points in Canada and points in the United States.
At present, Lufthansa offers service from Germany to Calgary, Vancouver, Montreal, and
Toronto. Under this arrangement, Lufthansa would hold out service to points in the United
States beyond those Canadian cities by placing its LH designator code on transborder
services currently operated by Air Canada, or on services which Air Canada may in the
future introduce. Lufthansa would not be holding out Fifth Freedom services on the local
U.S.-Canada segments.

Canadian Airlines International, Ltd. (Canadian Airlines) hereby responds to the Application of Air Canada for Statement of Authorization to display the Lufthansa airline designator code on Air Canada-operated flights between points in Canada and points in the United States which was filed with the Department on March 6, 1998, with a request for approval within five days. Swift approval of the Air Canada application under these circumstances when the Canadian Airlines-Lan Chile application remains unresolved would be unfair and prejudicial to Canadian Airlines.
To elaborate: In the Air Canada - Lufthansa case, we note that those two carriers combined enjoy a 95% market share in the Canada - Germany market compared to Canadian Airlines, the other designated carrier in that market. To permit the Air Canada - Lufthansa codeshare would exacerbate the market dominance of United's partner unless Canadian Airlines receives assurances that it will be permitted to codeshare into points in Germany with its alliance partner(s) as well.

Air Canada respectfully urges that the Department reject CP's transparent (and groundless) attempt to block or delay the Air Canada-Lufthansa code-share. The applications at issue have nothing whatsoever to do with one another. Air Canada has no knowledge as to why the CP-LanChile arrangement should (or should not) be approved. Simply put, CP's answer is irrelevant to this proceeding. As CP itself acknowledges, the CP/LanChile/American arrangement is under review by DOT/DOJ, probably because LanChile and American have applied for antitrust immunity, and because American has an equity stake in and antitrust immunity with CP. The Lufthansa/Air Canada arrangement is in no way analogous.

When United filed to renew these two authorities on May 31, 1996, United also sought an amendment so as to make it explicit that the "AC" designator code could be displayed on all transborder flights operated by United and not just on those that were in operation or specifically requested at the time that the initial applications were filed. 'This amendment allowed United to have the flexibility to engage in additional code-sharing consistent with the U.S.-Canada Air Transport Agreement, without seeking additional route-by-route approvals. A similar amendment had been granted to American Airlines, Inc., and Canadian Airlines International by Notice of Action Taken, dated April 18, 1996, in Docket OST-95-792. United now seeks renewal of this existing authority as amended. United also requests a further amendment of its statement of authorization to allow it to display Air Canada's code on beyond-gateway flights within the U.S. to any U.S. point United is authorized to serve.

United urges that its pending applications for transborder code-share services to points in Canada and Mexico be approved as well as the joint application of Air Canada and Mexicana for reciprocal transborder code-share services. Approval of United's applications will allow a U. S carrier to benefit from the increased transborder traffic flows that will be generated by expanded code-sharing and will also offer additional competitive choices to consumers in the transborder markets. Because these code shares involving third-country carriers and points in third countries do not raise designation issues under the U.S./Mexico agreement such as those which have caused deferral of certain other applications, all of these third-country code-share applications should be granted without further delay.
