As is the case with many airlines, Challenge experiences seasonal fluctuations in cash flow. These fluctuations can be significant, as the Latin American markets in which Challenge operates generally produce a large share of Challenge's revenue during the periods immediately preceding Christmas and Valentine's Day.
As was the case last year, during the course of conducting their regular annual review, Challenge's outside auditors expressed concern about the cash flow fluctuations. In order to address this concern, Challenge's shareholders -- Mr. Spohrer and Mr. Ullrich -- have advised the Company and the auditors of their willingness to provide additional funds to the Company as might be needed in the future to bolster cash flow. As of this date, there has been no need for any such additional funds and there is no current expectation that any such additional funds will actually be required, a. Challenge is, in fact, managing its cash flow requirements in the same manner as it ha. successfully done in past years.
Although it is not entirely clear that the above matter necessarily constitutes a reportable event under Order 93-7-25 (given the absence of any actual additional investment), Challenge nevertheless is bringing this matter to your attention out of an abundance of caution. Challenge will report any future, related developments, should any occur.
