Tradewinds is now poised to expand its successful service offerings to include charter passenger service. Tradewinds is well qualified to conduct such services. In view of the Department's recent fitness determination, the exceptional qualifications of Tradewinds' management team, the financial strength of the Applicant, and Tradewinds' familiarity with the proposed aircraft, the Applicant respectfully urges the Department to expedite this review and issue a new certificate authorizing Tradewinds to conduct passenger charter operations no later than August 29, 1997. This timing is necessary to enable Tradewinds to schedule its FAA proving runs in September and to begin charter passenger service by October 1, 1997.
Tradewinds plans to market and sell its passenger charter services to established tour operators as well as operating a limited number of public charters in its own right. The focus of Tradewinds' service proposal will be operating charter flights to major vacation destinations in the United States, Caribbean and Mexico, em Florida, Las Vegas, Hawaii, Cancun, Jamaica and similar locales. Cities throughout the northern tier of the United States and Canada are prime points of origin for sunspot travelers. Tradewinds will lease two L-1011 aircraft owned by Interlease 757 Aircraft Investors LLC ("Interlease"). These aircraft were formerly owned and operated by Delta Air Lines, Inc. and comply with Stage-3 requirements.
Scarcely ten months ago, the Department completed a comprehensive review of Tradewinds' fitness. The Department concluded that Tradewinds is a U.S. citizen and is "fit, willing, and able" to conduct domestic and foreign charter air transportation of property and mail, using L-1011 aircraft.

Supplement No. 1 to the Application
Responds to the Department's request for information necessary to complete the Department's analysis of the Application in the instant docket. The Department has requested more information regarding the Applicant's operating profit for 1997, and specifically, the actual operating revenues for the period beginning July 1, 1997, and ending on September 30, 1997. The Department found this information necessary to its assessment of the Applicant's access to capital, and hence economic fitness.

By this order, we tentatively conclude that Tradewinds Airlines, Inc., a certificated all-cargo air carrier, is "fit, willing, and able" to provide interstate and foreign charter passenger air transportation, subject to conditions.
Tradewinds has provided forecasts of its anticipated pre-operating and operating expenses for its first year of operations. These forecasts indicate that Tradewinds will incur approximately $360,000 in start-up costs and another $2.1 million in operating expenses during an average three-month period in the first year of revenue operations. We have reviewed Tradewinds' expense forecasts and find that they appear to be reasonable.

The Order states that "Tradewinds is a wholly owned subsidiary of Tradewinds Holdings, Inc., which, in turn, is owned by Tropics Communications, Inc., both U.S. citizens. " Order 97-1 1-29 at p. 5. The Order should read: "Tradewinds is a wholly owned subsidiary of Tradewinds Holdings, Inc., which is a U.S. citizen."

By Order 97-11-29, issued November 18, 1997, we directed all interested persons to show cause why we should not make final our tentative findings and conclusions stated in it and award certificates of public convenience and necessity to Tradewinds Airlines, Inc., authorizing it to engage in interstate and foreign charter air transportation of persons, property, and mail. Interested persons were given 10 days to file objections to the order.
An answer was filed by Tradewinds to correct a factual misstatement in the show-cause order, which does not alter our findings of fitness. No other answers were filed.

Waiver of Condition and Request for Expedited Treatment
Tradewinds' petition is also limited in scope. Tradewinds is not asking for permission to hold itself out to the traveling public through issuing tickets, or to receive monies, prior to its receipt of effective authority. Tradewinds merely seeks permission to enter into contractual commitments, subject to final government approval, to provide the air service that the Department has already conditionally approved.

Tradewinds can now and will upon the Department's request deliver a revised list of pre-operating expenses already paid and those remaining to paid, and independent verification that it has available to it funds sufficient to cover any remaining pre-operating expenses and to provide a working capital reserve equal to the operating costs that would be incurred in three months of operations.
