Alaska has one further potential concern about America's pending codeshare agreement - the Los Angeles-Mexico City market. Since the code-share agreement indicates that Mexico City is one of the Mexican behind-the-gateway cities to which American intends to display its code on Aero California's internal Mexican sectors, it is unclear whether American therefore intends to hold out Los Angeles-Mexico City services on a connecting flight, code-share basis. It is also unclear whether the Mexican Government's code-share policy would extend to such connecting flight-"behind-the-gateway" operations. With the well-known history of Alaska's interest in the Los Angeles-Mexico City market, Alaska would strongly object to any entry of American in that market as long as the Mexican Government intends to limit the number of U.S. carriers in the largest and most important U.S. Mexico market.

American and Aero California, unlike United/Mexicana, have chosen not to restrict the city pairs in which they propose to code share. The Department will have to address the issue of whether such unlimited, systemwide U.S.-Mexico code shares may be approved consistent with the terms of the U.S./Mexico bilateral air services agreement as well as with the public interest. Implementation of these services may also require bilateral consultations to determine the extent to which such systemwide code sharing will be allowed and under what conditions.

Balance sheet indicates an increase in redeemable preferred stock reflecting the following transactions: J. B. Power (engine shop) agreed to convert approximately $87,000 in debt owed by Millon Air to preferred stock; Serrano & Henao, Millon Air's agent in South America agreed to exchange $50,000 in debt owed by Millon Air into preferred stock; Juan B. Millon and Emesto Millon agreed to convert $176,000 in debt owed to them by the airline into preferred stock. In addition, the airline's President and majority stockholder Juan B. Millon has pledged to contribute a B707 aircraft owned by him (paid in capital) to the airline after the DoT issues a final order finding Millon Air fit to recommence operations. The value of this aircraft is approximately $1 million (book value $700,000.)

Application for an Exemption

Nations Air intends to operate the above service on a daily basis using 142-seat B727-200 aircraft from its existing fleet. The anticipated commencement date of the service is June 1, 1997. Nations Air's planned Miami - Maracaibo service will represent the only nonstop or direct passenger service by a U.S. air carrier between Miami International Airport and Maracaibo, Venezuela, providing a new option for South Florida- and Venezuelan-originating local passengers. Furthermore, only one foreign (Venezuelan) carrier currently provides such service, and that carrier is subject to FAA Category II country restrictions; as such, the foreign carrier in unable to expand existing service.

Continental has extremely limited transatlantic code-share authority and does not participate in any U.S.-France code-share operations at this time. Air France does not participate in any U.S.-France code-share operations at this time. The public will benefit from addition of a new transatlantic code-share alliance and the enhanced competition it will provide. Continental's U.S.-South Africa third-country code-sharing in cooperation with Air France will also provide substantial benefits to the traveling public.

Applicaiton of Northwest Airlines - OST-97-2552

Northwest has been waiting to provide code-share service to South Africa for almost four years . However, Northwest has been unable to implement its proposed U.S.-South Africa code-share service due to the Government of South Africa's refusal to authorize the proposed service. With the signing of the ad referendum Air Transport Agreement between the United States and South Africa on March 29, 1996, the impediment to Northwest's U.S.-Johannesburg/Capetown code-share service will no longer exist as of November 1, 1997. Indeed, Northwest was instrumental in urging the inclusion of third-country codesharing authority in the agreement with South Africa.

United proposes to operate services between the U.S. and both South Africa and Zimbabwe in conjunction with Lufthansa. Lufthansa has an application on file in which it seeks a statement of authorization to code share for United, inter alIa, between Frankfurt and both Johannesburg and Cape Town, South Africa. That application was filed on July 25, 1994, and was granted by the Department in part on August 29, 1994. At that time, the Department specifically deferred that portion of Lufthansa's application dealing with code-share services between Frankfurt and South Africa. The deferred Frankfurt-Johannesburg/ Cape Town portion of Lufthansa's application remains pending. Lufthansa also hereby amends that application to include the right to code share to Harare, Zimbabwe, as a point beyond Frankfurt.
